Your Ultimate Guide for Nonprofits: Board Dynamics, Partnerships, and Money Management

Please join us for a special presentation that will be full of important information for nonprofit executives and their advisors. The course agenda with learning objectives follows:

Module 1 – Introduction to Nonprofit Law (30 minutes)

  • Build a framework for nonprofit management
  • Provide background information on nonprofit law: define industry terms, types of tax-exempt organizations, and the nonprofit marketplace

Module 2 – The Nonprofit Board (1 hour)

  • Explain the rights and responsibilities of nonprofit board members
  • Review indemnification, conflicts of interest, liability transfer, and other essential issues that nonprofit board members need to understand
  • Discuss the basics of corporate compliance for nonprofit organizations

Module 3 – Nonprofit Partnerships (1 hour)

  • Review the different types of transactions a nonprofit organization can do
  • Use real-world examples to show how a nonprofit can leverage its tax-exempt status to make more money (in compliance with the rules)

Module 4 – Nonprofits & Handling Money (30 minutes)

  • Discuss the various requirements that the IRS requires of a nonprofit in receiving and spending money
  • Provide a record-keeping framework specifically for nonprofit needs
  • Examine Anti-Money-Laundering considerations that nonprofits need to understand to stay out of trouble

Module 5 – Fraud Protection & Security for Nonprofits (1 hour), Presented by Tompkins VIST Bank

  • Review nonprofit controls for fraud prevention and examine current cybersecurity protocols 
  • Discuss the current risk and threat landscape for businesses
  • Highlight the various ways to mitigate risk and proactively protect money in deposit accounts

Todd Kulkin, ESQ

Todd P. Kulkin practices in the areas of corporate, securities, and not-for-profit law. He is risk management and strategy focused, having graduated with a concentration in Financial Transactions from University at Buffalo (SUNY) Law School in the aftermath of the 2008 financial crisis. Todd began his legal career representing and advising Fortune 500 companies at one of the largest law firms in the US. In 2012, he departed that firm to open his own practice and now serves as outsourced general counsel for start-up companies, corporations, and not-for-profit organizations in the United States and abroad.

He has been honored by the Reuters publication Superlawyers as a “Rising Star” in business law for the New York Metro Area from 2014-2020.
